These Terms and Conditions ("Terms") govern your use of the Niti Chao website at nitichaoes and your engagement with Niti Chao Legal Advisory ("Niti Chao", "we", "us", "our"). By accessing the website or engaging our services, you agree to these Terms. If you do not agree, please do not use this website or engage our services.
1. Definitions
In these Terms:
- "Service" means the legal advisory services described on this website, including Intellectual Property Consultation, Business Dispute Resolution Advisory, and Comprehensive Compliance Framework.
- "Client" or "You" means any individual or legal entity that engages Niti Chao for services or uses this website.
- "Engagement" means a specific service arrangement between the Client and Niti Chao, governed by a separate written scope agreement.
- "Deliverables" means written advisory documents, manuals, guides, or other materials produced as part of an Engagement.
- "Website" means the site located at nitichaoes.
2. Acceptance of Terms
By using this Website or initiating an Engagement with Niti Chao, you confirm that you are at least 18 years of age, have the legal capacity to enter binding agreements, and accept these Terms in full. Where you represent a legal entity, you confirm that you have authority to bind that entity.
3. Nature of Advisory Services
Niti Chao provides structured legal advisory services within the scope defined in each written Engagement agreement. Our services are advisory in nature. We do not provide representation in legal proceedings, court filings, or notarial services unless expressly agreed in writing.
The information on this website is provided for general orientation only and does not constitute legal advice. No advisory relationship is formed by browsing this website or submitting a contact form.
4. Engagement Process
Each Engagement begins with a discovery session and is formalised through a written scope agreement that sets out:
- The specific service to be provided
- Deliverables and their expected timeline
- The agreed fee
- Any specific conditions applying to that engagement
No substantive advisory work will commence until a scope agreement has been accepted in writing by both parties.
5. Fees and Payment
Service fees are stated in Thai Baht (THB) and are set out on this website and in your scope agreement. All fees are exclusive of applicable taxes unless otherwise stated.
Payment terms, invoicing schedule, and accepted payment methods will be specified in the scope agreement. Fees cover the advisory work described in the scope. Government registration fees, filing costs, or third-party expenses are not included and will be quoted separately where applicable.
Niti Chao reserves the right to suspend work where fees remain unpaid beyond agreed payment terms.
6. Refunds and Cancellation
Refund and cancellation terms are set out in individual scope agreements. Generally:
- Engagements cancelled before any advisory work begins may receive a full refund of any advance payment.
- Engagements cancelled after work has commenced will be subject to a fee reflecting the proportion of work completed.
- No refunds are available after delivery of final Deliverables.
7. Intellectual Property
All Deliverables produced by Niti Chao remain the intellectual property of Niti Chao until full payment is received, at which point a non-exclusive, non-transferable licence to use the Deliverables for the Client's own business purposes is granted.
Clients may not reproduce, distribute, or publish Deliverables without prior written consent from Niti Chao. The Niti Chao name, logo, and website content are the property of Niti Chao and may not be used without express permission.
8. Confidentiality
Niti Chao treats all Client information with strict professional confidentiality. We will not disclose Client information to third parties except as required by law, by professional obligation, or with the Client's explicit consent.
Clients agree not to disclose confidential information shared by Niti Chao in connection with an Engagement to third parties without prior written consent.
9. User Responsibilities
When using this Website, you agree not to:
- Use the site for any unlawful purpose
- Transmit harmful, offensive, or infringing material
- Attempt to gain unauthorised access to any part of the site or its systems
- Interfere with the operation of the site
- Misrepresent your identity or authority
10. Disclaimers
This Website is provided on an "as is" basis. Niti Chao makes no warranties, express or implied, regarding the accuracy, completeness, or fitness for purpose of information on the Website.
Advisory services reflect the information available and law in effect at the time of delivery. We are not responsible for regulatory changes occurring after delivery of Deliverables, except where a quarterly review arrangement is in place.
No advisory provided in connection with our services should be interpreted as a guarantee of a particular outcome. Legal matters involve inherent uncertainty.
11. Limitation of Liability
To the maximum extent permitted by Thai law, Niti Chao's total liability in connection with any Engagement shall not exceed the fees paid by the Client for that Engagement.
Niti Chao shall not be liable for indirect, consequential, or special damages arising from the use of advisory services or this Website, including but not limited to loss of profits, loss of business, or reputational harm.
12. Indemnification
You agree to indemnify and hold harmless Niti Chao, its advisers, and representatives from and against any claims, liabilities, damages, or costs arising from your breach of these Terms or misuse of the Website or our services.
13. Termination
Either party may terminate an Engagement by written notice if the other party materially breaches the scope agreement and fails to remedy the breach within 14 days of notice. Upon termination, the Client shall pay for all work completed to the date of termination. Sections 7, 8, 10, 11, and 12 of these Terms survive termination.
14. Dispute Resolution
If a dispute arises from or in connection with these Terms or an Engagement, the parties will first attempt to resolve the matter through good-faith negotiation within 30 days of written notice of the dispute.
If negotiation is unsuccessful, the dispute will be referred to mediation under the rules of the Thailand Arbitration Centre (THAC) before any formal proceedings are initiated.
These Terms are governed by the laws of the Kingdom of Thailand. Any proceedings not resolved by mediation shall be subject to the jurisdiction of the courts of Bangkok, Thailand.
15. General Provisions
- Entire agreement: These Terms and any scope agreement constitute the entire agreement between the parties regarding the relevant subject matter.
- Severability: If any provision of these Terms is found unenforceable, it will be severed without affecting the remaining provisions.
- No waiver: Failure to enforce any provision does not constitute a waiver of that provision.
- Notices: Formal notices should be sent in writing to the address or email below.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected on this page with an updated "Last Updated" date. Continued use of the Website after changes constitutes acceptance of the revised Terms. For existing Engagements, the Terms in force at the time of the scope agreement apply.
